By accessing or using any HyperMindZ.ai products—including Openagentregistry, Mindchain, and OpenAdsregistry (“Products”)—or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, you must immediately cease using our Products and Services.

2. Definitions

• Products: HyperMindZ.ai offerings including Openagentregistry, Mindchain, and OpenAdsregistry.
• Service: Any website, software, mobile application, or platform provided by HyperMindZ.ai.
• User/You: Any individual or entity accessing or using our Products.

3. Eligibility and Account Obligations

• Eligibility: You must be at least 18 years old to use our Service; users under the age of majority must have parental or guardian consent.

• Non-Confidentiality: Any Input you provide is non-confidential, and any Output generated by our AI-powered features is likewise non-confidential. Identical or similar Output may be produced for different users.
• Accuracy Disclaimer: AI-generated Output is provided “as is” and may not be accurate or reliable. You are solely responsible for verifying its accuracy before use.
• Ownership: You retain rights in your Input; however, HyperMindZ.ai retains ownership of the underlying AI models, algorithms, and aggregated data.
• Vertical Solutions: OpenAdsregistry is provided as a specialized, verticalized solution under these Terms.

Violations of these restrictions may result in immediate suspension or termination of your Account.

7. Payment and Subscription Terms

• Paid Services: Some features may require a paid subscription. If you subscribe, you agree to pay all applicable fees in U.S. Dollars. Subscriptions will automatically renew at the then-current rates unless canceled in accordance with these Terms.
• Billing: Payments are due in advance. All fees are nonrefundable except as required by law.
• Fee Changes: We may modify subscription fees at the end of the current billing cycle, with reasonable notice provided.

8. Intellectual Property and Copyright

• Ownership: All intellectual property rights in the Service—including software, design, and technology—are owned by HyperMindZ.ai or its licensors.
• User License: You are granted a limited, non-exclusive, non-transferable license to use our Products solely as permitted by these Terms.
• Third-Party Links: Our Service may include links to third-party websites. HyperMindZ.ai is not responsible for the content or practices of these sites. Use such links at your own risk.
• DMCA Procedures:
• Copyright Claims: If you believe your copyrighted work has been infringed, you must provide a written notice to our Copyright Agent at contactus@HyperMindZ.ai that includes your signature, identification of the copyrighted work, the infringing material’s location, and your contact information.
• Counter Notification: If you dispute a removal notice, you may submit a counter notification including your signature, identification of the removed material, and a statement under penalty of perjury. Upon proper submission, we will notify the complaining party and, absent further legal action, restore the material within 10 to 14 business days.

9. Indemnification

You agree to indemnify and hold harmless HyperMindZ.ai, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

• Your use or misuse of our Products,
• Any breach of these Terms,
• Any violation of applicable laws or third-party rights.

10. Disclaimers and Limitations of Liability

• Disclaimer: Our Products are provided “as is” and “as available” without any warranties, express or implied, including those of merchantability or fitness for a particular purpose. We do not guarantee error-free, secure, or uninterrupted access.
• Limitation of Liability: In aggregate, HyperMindZ.ai’s liability shall be limited to $100 or the total fees paid by you in the six months preceding the claim, whichever is greater. In no event shall we be liable for any indirect, incidental, consequential, or punitive damages.

11. Dispute Resolution and Governing Law

• Dispute Resolution: You agree to attempt to resolve any dispute informally for at least 30 days before initiating formal proceedings. Any unresolved dispute shall be resolved by binding arbitration in accordance with its rules. Claims must be brought individually; class actions are waived. To opt out of arbitration, you must provide written notice to support@HyperMindZ.ai within 30 days of your first use of the Service.

• Governing Law and Forum: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia. Any non-arbitrable disputes shall be resolved exclusively in the federal or state courts located in Virginia.

12. Changes to These Terms

We reserve the right to update these Terms at any time. The current version will be posted on our website with an updated “Effective Date.” Your continued use of our Products constitutes your acceptance of any changes.
